About the role

The objective of this position is to provide corporate legal secretarial, administrative and paralegal support for the Vice

President, Secretary and General Counsel and general support for VP of Operations and staff reporting to VP Operations.

What you will be doing

1.CORPORATE LEGAL EXECUTIVE SECRETARIAL AND PARALEGAL SUPPORT- Provides the sole executive legal secretarial and administrative support for VP/Sec/GC.

  • Perform paralegal functions with respect to the maintenance of corporate data sheets for parent and 50+ subsidiaries on a global basis; maintain on a current basis legal and TPI corporate governance documentation i.e. Board Committee charters and TPI bylaws; prepare legal and governance action items for Board and Executive Committee meetings; interfaces and autonomously communicates with internal and external shareholders regarding investor relations matters
  • Drafts BOD meeting minutes from notes of VP/Sec/GC. Creates supporting corporate secretarial documentation and prepares draft documents
  • Coordinates all travel arrangements for VP/Sec/GC
  • Prepares and files annual state compliance reports for TPI companies registered as foreign corporations.
  • Communicates autonomously and assists VP/Sec/GC with outside legal counsel matters
  • Compiles and tracks all legal expenses of outside legal counsel;
  • Manages all records and documentation associated with TPI IP program including all patent documentation; Administers inventorship documentation requirements obtaining all required signatures and communication among inventors; supports immigration legal matters by 85% handling consular appointments and arrangement of documentation processing by US and foreign embassies.
  • Proofreading of Annual Report and intercompany communications.
  • Reviews, summarizes, and redlines commercial contracts, identifying key terms, obligations, risks, and non-standard provisions. Works independently with internal stakeholders to negotiate and finalize routine contractual terms and conditions, escalating complex or high-risk matters to supervising attorneys

2. Support to VP Operations – Southco: Coordinate materials for monthly Operations meetings and monthly Operations Staff meetings for VP of Operations. Attend monthly Operations meetings, prepare and distribute meeting minutes In addition, handle all confidential matters discreetly with contacts inside and outside the company. Assist with foreign visas for Ops staff.

3. Manages records retention program, offsite retention and file destruction authorization 

4. Maintain and manage calendars, meeting arrangements and schedules for VP/Sec/GC and VP of Operations, preparation of monthly expense reports as required

5. Prepare shareholder communications and dividend letters for distribution and mailing to shareholders; Assist VP/Sec/GC and Treasurer with management of Corporate Trustee, PNC Bank, N.A., of family trusts holding majority of outstanding company shares.

6. Provide back up assistance as requested to the treasury function by preparing and maintaining legal department records of shareholder ownership and shareholder transactions coordinating with Treasurer. Coordinates with Treasury to complete shareholder transactions, i.e. share sales, ownership changes and family trust beneficiary related matters.

About you

  • HS Diploma, Associates Degree preferred
  • Minimum 7 years experience as a legal secretary or paralegal – experience with commercial contract review a plus
  • Demonstrated ability to independently review and analyze commercial contracts, identify material terms and potential issues, and collaborate with business stakeholders to negotiate and finalize standard contractual language with minimal attorney supervision.
  • Excellent Communication skills with internal and external customers
  • Work independently and coordinate several tasks at the same time
  • Ability to maintain confidentiality on all matters
  • Extensive knowledge of Microsoft Outlook, Teams, Word, Excel, Powerpoint
